Are losses incurred by the play, if any, available ( for tax deductions) to individual investors?
Is there any provision for or possibility of overcalls?
Escrow agreement? Is my money protected while play funding is still incomplete?
All investment funds will be held by an independent escrow agent subject to the provisions of an escrow agreement which will not release any funds from the escrow account until funding is completed. If the specified necessary funds are not raised within the time specified in the escrow agreement, all funds will be returned to all investors, minus a 15% administrative fee.
Shared investments?
You may choose to share your investment with a partner or partners, subject to the acceptability of the terms of the partnership agreement.
Financial reports and audits?
Quarterly internal financial reports and annual audited financial reports will be provided to all investors.
Opportunities to join in future productions?
As investors in an ArtsBacker production, you will be informed of all future investment opportunities before the general public.
SEC registration, reporting and oversight?
All ArtsBacker theatrical ventures will be submitted to the U.S. Securities Exchange Commission under their registration requirements and will be fully subject to SEC reporting and oversight regulations.
Are investments by IRA, 401-K, profit-sharing plans or other retirement-oriented entities acceptable?
Investments by such plans will be acceptable if the terms and conditions of such plans allow.
Is investment available to non-US citizens or entities?
Investment is available, but is subject to U.S. laws and regulations.
Is investment available to trusts?
Yes, if the terms of the trust permit.
Is investment available to corporations, LPs, LLCs, foreign companies, etc. ?
They would not be excluded, provided that their internal rules permit.
Will you send a prospectus to my accountant or financial advisor ?
Yes.
Will investors participate in ancillary income (music licensing, overseas & touring companies,
T-shirts, film TV, Internet or video sale, etc.)?
Yes, to the extent that the production company retains such rights.
Is it possible to meet with ArtsBacker personally? I'm interested in investing at a higher level.

Are the circumstances for dividends/payouts clearly stated?
The terms for each specific production will be stated in its Offering Statement.

Other than any travel costs you may incur to get to the location of the performance, all the perks are equally available.
Will participations be transferable? Salable?
As securities registered with the SEC, they should be fully transferable and/or saleable.
Are losses incurred by the play, if any, available ( for tax deductions) to individual investors?
You should consult your tax advisor on this or related questions.
Is there any provision for or possibility of overcalls?
Not at present, nor is any anticipated.
